These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and SGTurbo ("we," "us," or "our"). By creating an account or using the SGTurbo application on iOS, Android, or the web (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

SGTurbo is a cloud-based inventory operations platform designed for resellers, liquidation buyers, pallet processors, and high-volume listing teams. The Service provides tools to scan and identify products via barcode, upload and manage manifests and supplies, enrich listing data with AI-assisted titles, descriptions, and pricing suggestions, coordinate across team members and locations, and export inventory data for use in sales channels or other workflows.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using SGTurbo, you represent that you meet this requirement.

3. Accounts

To access most features you must create an account. You agree to provide accurate, current information during registration and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@sgturbo.com if you believe your account has been compromised.

4. Acceptable use

You agree not to:

• Use the Service for any purpose that violates applicable law or regulation.
• Upload content that is fraudulent, infringing, defamatory, or otherwise harmful.
• Attempt to gain unauthorized access to other accounts, servers, or networks connected to the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers) to access the Service without our written permission.

5. Your content

"Your Content" means any data, files, images, text, or other materials you upload to or create within the Service, including item data, manifests, supply records, listing text, and exported files. You retain all ownership rights to Your Content. By using the Service, you grant us a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the Service for you.

6. AI-assisted features

SGTurbo may generate suggested titles, descriptions, pricing, and other content using artificial intelligence. These suggestions are provided "as-is" for your convenience. You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing or exporting it. We make no guarantees regarding the accuracy, completeness, or suitability of AI-generated suggestions.

7. Intellectual property

The Service, including its design, code, branding, and documentation, is owned by SGTurbo and protected by intellectual property laws. These Terms do not grant you any right to use the SGTurbo name, logo, or trademarks without our prior written consent.

8. Termination

You may stop using the Service at any time by closing your account. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export Your Content before deletion, subject to applicable law.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the fullest extent permitted by law, SGTurbo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of or inability to use the Service. Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SGTurbo, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in the jurisdiction of our principal place of business.
